CCP Greenlights J. and U&I Garments Merger

 

The Competition Commission of Pakistan (CCP) has officially approved the merger of Junaid Jamshed (Private) Limited (JJPL) with U&I Garments (Private) Limited (U&I), marking a significant consolidation in the apparel sector.

Under the agreement, U&I will acquire the entire business of JJPL through a share swap, resulting in JJPL’s operations, assets, and liabilities being fully integrated into U&I. Following the merger, JJPL will no longer exist as a separate entity.

CCP conducted a competition assessment to ensure the transaction does not create an unfair market advantage. Since U&I already owns a 25% stake in JJPL, the merger is largely an internal restructuring. The assessment found no significant concerns regarding market competition due to the presence of multiple competitors and low entry barriers.

Given these findings, CCP approved the merger in accordance with the Competition Act, reinforcing regulatory oversight while facilitating business growth in the apparel industry.
